General Terms and Conditions (GTC) – Coregenion GmbH
General Terms and Conditions of Coregenion GmbH ("holo") for all services provided to customers
1. Preamble
These General Terms and Conditions (hereinafter referred to as "GTC") govern the relationship between Coregenion GmbH (hereinafter referred to as "Coregenion") and a customer (hereinafter referred to as "Customer"), together referred to as the "Parties".
By using Coregenion's services, the Customer agrees to comply with these GTC as well as all related documents and policies referenced herein. These GTC apply regardless of the country where the Customer is domiciled.
2. Definitions
- ADSp2017: German Freight Forwarders' Standard Terms and Conditions 2017, published by DSLV, which apply in addition to these GTC and the Customer Agreement.
- API (Application Programming Interface): A set of protocols and tools that allow software applications to communicate with each other and integrate the holo app with online stores, marketplaces, and other e-commerce channels.
- B2B/B2C Shipment: A shipment synchronized with the holo app as a B2B or B2C shipment or manually identified as such.
- Business Days: Days that are not Saturdays, Sundays, or public holidays, and when banks in the country where Coregenion offers its services are open.
- Carrier: Third-party delivery companies or freight forwarders responsible for transporting the Customer's goods.
- Customer Agreement: The individually agreed contract governing the business relationship between the Customer and Coregenion, including all amendments.
- Customer Portal: The web-based application provided by Coregenion for managing orders and deliveries.
- Fulfillment Partner: A partner of Coregenion that operates fulfillment centers and performs fulfillment tasks on behalf of Coregenion.
- Goods: The Customer's physical goods processed by Coregenion.
- SKU (Stock Keeping Unit): A unique identifier for each item or packaging unit stored in Coregenion's fulfillment centers.
- DDP (Delivered Duty Paid): A delivery condition according to Incoterms where the seller pays all customs duties.
- Delivery Promise: A feature that predicts delivery time and arrival.
3. Scope of Services
Coregenion offers an integrated suite of software and services designed to improve efficiency and foster growth across the Customer's supply chain. These include:
- Software: The holo app offers near real-time operational monitoring and management functions for fulfillment, delivery, inventory management, and returns. It integrates seamlessly into the Customer's systems.
- Fulfillment: Coregenion offers fulfillment services, including picking, packing, and preparing shipments for dispatch. These services are supported by customer support and a Growth Manager.
- Delivery, Freight, and Packaging: Coregenion connects the Customer with carriers and logistics partners to transport goods. The Customer can purchase packaging material through Coregenion or use their own material.
4. Customer Rights and Obligations
- Ownership of Goods: The Customer guarantees that they are the lawful owner of the goods.
- Provision of Information: The Customer must provide all necessary information for the proper execution of the services.
- Prohibited and Dangerous Goods: The Customer guarantees that no prohibited or dangerous goods are processed by Coregenion.
5. Software
The holo app offers numerous features that support operational processes, including managing orders, deliveries, and returns. The Customer may subscribe to additional features that extend functionality.
6. Fulfillment
Coregenion offers comprehensive fulfillment services covering the entire process from storage to delivery. The Customer is responsible for providing accurate information and adhering to applicable shipping and packaging regulations.
7. Delivery
Coregenion acts as an intermediary between the Customer and carriers. The Customer can select different shipping options within the holo app.
8. Freight
Coregenion coordinates the transport of the Customer's goods via carriers and can also manage customs clearance upon request.
9. Packaging
The Customer may choose between standardized or custom packaging materials. Coregenion assumes no liability for packaging materials provided by the Customer.
10. Billing and Termination Terms
Invoices are payable via SEPA direct debit within seven days of invoice issuance. Coregenion reserves the right to adjust prices and terminate the contract in the event of payment default.
11. Data Confidentiality
Confidential information will only be shared with employees or representatives who require it to fulfill their duties. The data protection regulations of Coregenion must always be observed.
12. Liability and Jurisdiction
The liability of Coregenion is limited to direct damages, and the provisions of ADSp2017 and Logistik-AGB 2019 apply. The place of jurisdiction for disputes is Deggendorf, Germany.
